Terms of Service

These Terms of Service govern your access to and use of Tendi, including the Tendi web app, desktop app, mobile app, websites, and related services.

Please read these Terms carefully. By creating an account, accessing, or using Tendi, you agree to these Terms. If you do not agree, do not use Tendi.

1. Who We Are

Tendi is provided by The Harmonious Simulation LLC and Tom Harmon ("Tendi," "Company," "we," "us," or "our"). Tendi helps users manage tasks, habits, calendars, and scheduling, including optional AI-assisted planning features.

2. Eligibility and Accounts

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use Tendi. If you use Tendi on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you believe your account has been compromised.

3. The Service

Tendi provides productivity tools for task management, habit tracking, calendar integrations, and scheduling suggestions. Features may vary by platform, plan, geography, device, and availability of third-party services.

We may modify, suspend, or discontinue parts of Tendi at any time. We will try to provide reasonable notice when changes materially affect paid users, but we are not required to maintain every feature indefinitely.

4. AI and Scheduling Outputs

Tendi may use automated systems or AI features to generate scheduling suggestions, organize tasks, or assist with planning. These outputs are suggestions only and may be inaccurate, incomplete, delayed, or unsuitable for your circumstances.

You are responsible for reviewing schedules, reminders, and recommendations before relying on them. Do not use Tendi for emergency response, medical care, safety-critical operations, legal deadlines, financial trading, or other situations where a missed, incorrect, or delayed schedule could cause harm.

5. Calendar and Third-Party Services

Tendi may let you connect third-party services such as calendar providers. Your use of those services remains governed by their own terms and policies. Tendi is not responsible for third-party services, outages, data availability, permission changes, or changes to their APIs.

By connecting a third-party service, you authorize Tendi to access and use information from that service as needed to provide Tendi features you request.

6. Your Content

"Your Content" includes tasks, habits, notes, calendar metadata, account profile information, preferences, and other information you submit to Tendi. You retain ownership of Your Content.

You grant Tendi a limited, worldwide, non-exclusive license to host, process, transmit, display, and use Your Content solely to operate, secure, support, improve, and provide Tendi and related services.

7. Acceptable Use

You agree not to:

  • Use Tendi in a way that violates law or infringes anyone's rights.
  • Attempt to access accounts, systems, or data without authorization.
  • Interfere with, disrupt, overload, or reverse engineer Tendi.
  • Upload malicious code or use Tendi to distribute harmful content.
  • Use automated scraping, bulk account creation, or abusive traffic.
  • Misrepresent your identity or use Tendi to deceive others.

8. Paid Plans, Trials, and Billing

Some Tendi features may require a paid subscription. Prices, billing periods, trial terms, renewal terms, taxes, cancellation rules, and refund availability will be presented at purchase or in the billing flow. Unless stated otherwise, subscriptions renew automatically until canceled.

If payment fails or a subscription is not renewed, we may suspend or downgrade access to paid features. Fees are non-refundable except where required by law or expressly stated in the applicable purchase terms.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy.

10. Beta and Early Access Features

Tendi may offer beta, experimental, or early access features. These features may be less reliable, may change without notice, and may be discontinued. Use them at your own discretion.

11. Intellectual Property

Tendi, including its software, design, branding, documentation, and other materials, is owned by Tendi or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of Tendi to you.

Feedback is voluntary. If you send suggestions, ideas, or feedback, you grant us permission to use them without restriction or compensation.

12. Termination

You may stop using Tendi at any time. We may suspend or terminate your access if you violate these Terms, create risk for Tendi or other users, fail to pay applicable fees, or if continued access would be unlawful or commercially impractical.

After termination, provisions that by their nature should survive will remain in effect, including ownership, disclaimers, limitations of liability, and dispute terms.

13. Disclaimers

Tendi is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that Tendi will be uninterrupted, secure, accurate, error-free, or that data will never be lost. You are responsible for maintaining your own backups and independently verifying important schedules, deadlines, and information.

14. Limitation of Liability

To the maximum extent permitted by law, Tendi and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, missed deadlines, or business interruption.

To the maximum extent permitted by law, our total liability for any claim related to Tendi will not exceed the greater of the amount you paid to Tendi for the service in the three months before the event giving rise to the claim or USD $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless Tendi from claims, damages, liabilities, losses, and expenses arising from your use of Tendi, Your Content, your violation of these Terms, or your violation of law or third-party rights.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict of law rules. You and Tendi agree to bring disputes in the state or federal courts located in California, unless applicable law requires a different forum.

17. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice by posting the updated Terms, updating the effective date, or using another appropriate method. Continued use of Tendi after the updated Terms take effect means you accept the updated Terms.
